We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our website or services following any changes constitutes acceptance of those changes.

- Custom configuration solutions

- Ongoing support and maintenance
- Consultation and advisory services
Specific services, deliverables, timelines, and pricing are defined in individual project agreements or statements of work.
3. Client Responsibilities
When engaging our services, clients agree to:
- Provide accurate and complete information about project requirements
- Supply necessary content, assets, and data in a timely manner
- Designate a primary point of contact for project communication
- Provide timely feedback and approvals at agreed project milestones
- Ensure they have the right to use all provided materials and content
- Make payment in accordance with agreed terms
- Comply with all applicable laws and regulations
Delays in client responsibilities may impact project timelines and deliverables.
4. Project Process and Timeline
Discovery and Planning
Projects typically begin with a discovery phase to understand requirements, define scope, and establish timelines. This phase may include workshops, requirement gathering, and technical planning.
Development and Testing
We follow industry best practices for development, including iterative development, regular testing, and quality assurance procedures.
Launch and Handover
Upon project completion, we provide appropriate documentation, training, and handover procedures as defined in the project agreement.
Timeline Changes
Project timelines are estimates based on information available at project commencement. Changes in scope, delays in client deliverables, or unforeseen technical challenges may affect timelines. We will communicate any significant timeline changes promptly.
5. Payment Terms
Payment terms are specified in individual project agreements. General terms include:
- Payment schedule based on project milestones or time periods
- Invoices are due within 30 days unless otherwise agreed
- Late payments may incur interest charges and affect project delivery
- All prices are exclusive of VAT unless stated otherwise
- Additional work outside the agreed scope may incur extra charges
We reserve the right to suspend services or withhold delivery for overdue payments.
6. Intellectual Property Rights
Client Content and Materials
Clients retain all intellectual property rights to content, materials, and assets they provide. By providing such materials, clients grant us a license to use them for the purpose of delivering the agreed services.
Developed Solutions
Upon full payment, clients receive ownership or license rights to the developed configurator solution as specified in the project agreement. This typically includes:
- Custom code developed specifically for the client
- Design elements created for the project
- Configuration logic and algorithms
Pre-existing Materials and Third-Party Components
We retain ownership of:
- Pre-existing code libraries and frameworks
- Development tools and methodologies
- Third-party software components (subject to their licenses)
- General knowledge and expertise
Portfolio Rights
Unless otherwise agreed in writing, we reserve the right to:
- Showcase completed work in our portfolio and marketing materials
- Use project outcomes as case studies
- Reference the client relationship (with permission)
7. Confidentiality
We respect the confidential nature of client information and agree to:
- Maintain confidentiality of proprietary business information
- Not disclose sensitive project details without permission
- Implement appropriate security measures to protect client data
- Use confidential information solely for delivering services
This does not apply to information that is:
- Already publicly available
- Independently developed by us
- Required to be disclosed by law
- Already known to us prior to the engagement
For projects requiring additional confidentiality protections, we are happy to enter into separate Non-Disclosure Agreements (NDAs).
8. Warranties and Representations
Our Warranties
We warrant that:
- Services will be performed with reasonable skill and care
- We have the right and authority to provide the services
- Developed solutions will substantially conform to agreed specifications
- We will use industry-standard security practices
Client Warranties
Clients warrant that:
- They have the authority to enter into the agreement
- Provided materials do not infringe third-party rights
- Information provided is accurate and complete
- They will comply with all applicable laws
Limitation of Warranties
EXCEPT AS EXPRESSLY STATED, WE PROVIDE SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from services shall not exceed the total fees paid by the client for the specific project
- We are not liable for indirect, incidental, consequential, or special damages, including lost profits or lost data
- We are not responsible for losses caused by factors outside our reasonable control
- Clients are responsible for maintaining appropriate backups and disaster recovery procedures
These limitations apply regardless of the legal theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded by law
10. Support and Maintenance
Post-launch support and maintenance terms are defined in separate support agreements. These may include:
- Bug fixes and error corrections
- Security updates and patches
- Performance monitoring and optimization
- Feature enhancements and updates
- Technical support and assistance
Unless covered by a support agreement, post-delivery changes and support are billed separately at our standard rates.
11. Termination
Termination by Client
Clients may terminate projects with written notice. In such cases:
- Client remains liable for all work completed to date
- Client must pay for any non-cancellable commitments made on their behalf
- Partial deliverables and work-in-progress may be provided at our discretion
Termination by Us
We may terminate agreements if:
- Client fails to make payment within 30 days of due date
- Client materially breaches the agreement
- Client engages in unlawful or unethical conduct
- Continued work becomes impractical or impossible
Effects of Termination
Upon termination:
- All outstanding invoices become immediately due
- Each party must return or destroy the other's confidential information
- Provisions regarding payment, intellectual property, confidentiality, and liability survive termination
12. Third-Party Services and Software
Our solutions may incorporate or integrate with third-party services, APIs, or software components. Clients are responsible for:
- Obtaining necessary licenses for third-party software
- Complying with third-party terms of service
- Costs associated with third-party services
- Understanding that third-party service availability may affect solution functionality
We are not responsible for changes, discontinuation, or issues with third-party services beyond our control.
13. Website Use
When using our website, you agree to:
- Use the website only for lawful purposes
- Not attempt to gain unauthorized access to our systems
- Not introduce viruses, malware, or harmful code
- Not collect or harvest data from the website without permission
- Not use automated systems to access the website without consent
- Respect intellectual property rights in website content
We reserve the right to restrict or terminate access to our website for violations of these terms.
14. Indemnification
Clients agree to indemnify and hold harmless Configurator Ltd, its directors, employees, and contractors from any claims, damages, or expenses arising from:
- Client's breach of these Terms
- Infringement of third-party rights by client-provided materials
- Client's use of delivered solutions in violation of law
- Claims arising from client's business operations
15. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including:
- Natural disasters, pandemics, or acts of God
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Labor disputes or strikes
In such events, the affected party will notify the other promptly and make reasonable efforts to minimize impact.
16. Dispute Resolution
Informal Resolution
In the event of any dispute, we encourage parties to first attempt resolution through good-faith negotiation.
Mediation
If informal resolution is unsuccessful, parties agree to attempt mediation before pursuing legal action.
Jurisdiction
These Terms are governed by the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. General Provisions
Entire Agreement
These Terms, together with any project agreements and statements of work, constitute the entire agreement between parties and supersede all prior communications.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Assignment
Clients may not assign their rights or obligations without our written consent. We may assign our rights and obligations to affiliated entities or in connection with a business transfer.
No Partnership
Nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.
Notices
All notices must be in writing and sent to the contact details provided in project agreements or to the addresses listed below.
